Other than in relation to the Capacity Services, Shell must not subcontract a material part of its obligations under this Agreement or the Customer Contracts without the prior written approval of the Principal. The Principal may give or withhold its approval in its absolute discretion and may impose conditions on its approval.
Shell is responsible for all acts and omissions of its subcontractors as if they were acts and omissions of Shell and Shell indemnifies the Principal against all costs, expenses and liabilities incurred by the Customers in connection with the acts or omissions of any of its subcontractors.
